JOB SUMMARY

This position is a key component of Greystar’s growth strategy. managing, advising, and leading on all elements of legal support for Greystar’s Enterprise Services, Executive Team, and Headquarters. In addition, this position will be involved in collaborating with the Enterprise Risk Management and individual lines of business legal teams to establish processes and procedures that mitigate risk and ensure compliance with legal and regulatory requirements applicable to the company.


JOB DESCRIPTION

  • Collaborate across legal, compliance, accounting, risk, and technology functions to develop systems and process solutions to govern, report on, and ensure robust operation of the company’s legal entity management and governance and entity life cycle management processes.
  • Support M&A initiatives and other strategic transactions acting as primary Greystar legal representation and support on corporate mergers and acquisitions, bond and debt offerings, debt agreements, financing-related reporting, and corporate communications.Drive initiatives to increase operational efficiency and streamline corporate M&A, corporate financing, and financial reporting processes.
  • Assist with general corporate matters, including corporate governance and preparation of materials for the Executive Committee and Board of Directors.
  • Advise on finance, investor, and corporate matters, including review of announcements, press releases, investor presentations, investor and board communications, and other materials (including preparation of appropriate disclosure materials as necessary).
  • Act as the primary reviewer of corporate contractual agreements, including but not limited to corporate office leases and corporate service contracts.
  • Develop and maintain, and advise on, policies, procedures, and controls to ensure corporate governance and securities compliance.
  • Remain up-to-date on relevant corporate governance and securities law developments and collaborate with the rest of the Legal & Compliance teams.
  • Address different reporting requirements for audits, bondholders, and Board which require legal input in collaboration with business unit legal leads, and provide strategic legal guidance to internal teams on litigation reporting and disclosures
  • Work closely with broad networks of stakeholders, including colleagues in the People & Culture, Finance, Risk, Communications, and Technology teams, as well as the other legal departments, to drive and support company and legal initiatives, including ongoing evolution of business strategy, commercial practices, contractual processes and protocol to improve and streamline the legal experience for internal clients.
  • Support the Chief Administrative Officer and Chief Financial Officer in ensuring internal stakeholders are aligned with corporate legal processes and procedures.
  • Attend Greystar Board meetings to provide legal assistance and advice as applicable and appropriate
  • Own and drive the legal planning and budgeting efforts within Global Enterprise Services and Headquarters with an emphasis on improving both efficiency and internal collaboration across the legal departments.
  • Work effectively across business lines and internal corporate functions to resolve complex risk management issues and collaborate with the Risk Group to provide risk management training to firm personnel.
  • Identify regulatory risks to the firm, report those to the Chief Administrative Officer, and formulate an effective response to those risks. Related, keep current on developments in law and regulation regarding professional responsibility and firm risk management and other issues.
  • Manage and meet aggressive internal delivery timelines and help adjust priorities in a fast-moving environment.
  • Promote and ensure a collaborative work environment across Global Enterprise Services, Headquarters, and internal legal teams.
  • Promote consistency, fairness, and open dialogue; maintain an open-door policy.

Knowledge, Skills, Abilities:

  • 10+ years of work experience in a top-tier law firm and/or in-house legal department, including a combination of relevant experience as a practicing attorney counseling clients and in-house leadership experience building and leading high-performing teams with a proven track record of impactful client and customer relationships, and demonstrated efficiency and effectiveness; experience within the financial and/or real estate industry a plus.
  • Experience working with company clients on capital markets transactions, bondholder or SEC reporting obligations and corporate governance.
  • Highly disciplined, able to make independent decisions and work with limited supervision while excelling in a fast-paced, dynamic and demanding environment.
  • Inquisitive, engaged and proactive in identifying legal issues and risks and proposing creative and effective solutions with a commercial mindset; ability to deal with complexity and ambiguity simultaneously and translate complex business and legal issues into clear and simple guidance for a variety of clients and stakeholders.
  • Excellent verbal and written communication skills with the ability to present sophisticated issues in a clear and persuasive manner.
  • Demonstrated skills in interpersonal communication to establish and build internal and external relationships, manage vendors and service providers, and effectively interact with executives, senior-level management groups, clients and other team members.
  • Excellent project management skills and evidenced ability to take initiative in the area(s) of focus in order to develop and execute a project plan from conception through implementation and evaluation.
  • Driven; a quick study with internal drive to make a difference in a high-growth organization – a self-starter that requires minimal direction.
  • Ability to effectively manage outside counsel, provide clear direction, evaluate services and communicate feedback as needed to achieve optimal results.
  • Ability to read, write and communicate effectively to create and make presentations to team members, executives and senior managers and others, and to develop policies, procedures, memos and other documents used for communicating, training or implementing planned projects and initiatives.
  • Strong Corporate experience, particularly with corporate governance, contracts, financing, and reporting; excellent legal drafting skills, exhibiting a keen attention to detail.
  • A demonstrated verifiable reputation for integrity and no history of disciplinary offences as an attorney or in any other capacity.
  • High comfort level with a wide range of legal issues and subject matters

Required Licenses or Certifications:

  • JD from a top-tier, ABA-accredited law school and admitted to practice and in good standing with a U.S. state bar.

Compensation is based on geographic location and individual pay decisions will vary based on demonstrated job related skills, knowledge, experience, education, certifications, etc.

Corporate Positions: In addition to the base salary, may be eligible for an annual performance bonus that is based on individual and company performance.

Onsite Property Positions: In addition to the base salary, may be eligible for a discretionary weekly, monthly and/or quarterly bonus based on budget.
