JOB DESCRIPTION SUMMARY

The Corporate Counsel role sits in our Corporate Legal team that serves as the enterprise-wide legal foundation for Greystar, partnering with business leaders and functions across the company to ensure Greystar's corporate entities, governance processes, and legal/compliance obligations are managed consistently, regardless of business line or region. This role will be responsible for advising Greystar on governance best practices, maintaining corporate records and entity structures across the organization's subsidiaries, and ensuring compliance with organizational documents and applicable laws. In addition, this role works closely with senior legal leadership and cross-functional partners enterprise-wide to keep Greystar's corporate infrastructure sound as the business scales.

JOB DESCRIPTION

Key Responsibilities:

  • Draft, review, and maintain corporate governance documents, including operating agreements, resolutions, consents, meeting minutes, and related entity formation, qualification, and dissolution documents
  • Oversee the entity management database (e.g., Diligent Entities or similar platform) to ensure accuracy and completeness of corporate records across domestic and international subsidiaries
  • Manage entity compliance calendars, ensuring timely renewals, registrations, and qualification filings across all jurisdictions
  • Partner with Finance, Treasury, Accounting, Tax, and People Operations to align governance and compliance activities with business strategy
  • Provide legal research, analysis, and advice on corporate governance, entity-related, and other general corporate legal questions
  • Support corporate transactions (financings, credit facility negotiations, reorganizations, acquisitions/dispositions)
  • Draft and review corporate-related agreements, including intercompany agreements, joint venture documents, and strategic partnership arrangements
  • Assist in developing and maintaining corporate policies, delegation of authority frameworks, and internal governance processes to scale with Greystar's growth

Required Education and Licensure:

  • Juris Doctor (J.D.) from an accredited law school
  • Member in good standing of at least one U.S. state bar; eligible for in-house counsel registration/authorization in relevant jurisdictions

Qualifications:

  • 5+ years of corporate experience in a large law firm and/or in-house legal department, with a focus on corporate governance and entity management
  • Familiarity with Delaware corporate law and standard multi-jurisdictional entity governance practices
  • Exceptional judgment, issue-spotting, and problem-solving skills with a practical, business-oriented approach; ability to identify risk exposures and offer practical, creative solutions
  • Outstanding written and verbal communication skills
  • Strong working knowledge of entity management/governance software; comfort with legal tech and AI tools
  • Ability to work in a fast-paced, collaborative environment with other in-house attorneys and corporate professionals
  • Ability to manage multiple high-priority matters under tight timelines; strong project management and organizational skills

Additional Compensation:


Many factors go into determining employee pay within the posted range including business requirements, prior experience, current skills and geographical location.

  • Corporate Positions: In addition to the base salary, this role may be eligible to participate in a quarterly or annual bonus program based on individual and company performance.
  • Onsite Property Positions: In addition to the base salary, this role may be eligible to participate in weekly, monthly, and/or quarterly bonus programs.
